TERMS AND CONDITIONS OF THE MINIKID ONLINE STORE
These terms and conditions are effective from September 1, 2024.

DEFINITIONS

  1. Seller or MINIKID – MINIKID S.A., al. Zwycięstwa 241/13, 81-521 Gdynia, NIP: 5862413211, REGON: 540565190
  2. Consumer – a natural person entering into a legal transaction with a business entity that is not directly related to their business or professional activity;
  3. Client – a person entering into a Contract with MINIKID via the Online Store;
  4. Terms and Conditions – this document available at https://minikid.pl/regulamin/;
  5. Online Store – the store operated by MINIKID, accessible at https://minikid.pl (including all subpages and sections available under this address);
  6. Contract – a sales contract concluded under the conditions and scope specified in the Terms and Conditions;
  7. Products – goods offered by MINIKID in the Online Store;
  8. Cart – functionality provided in the Online Store that allows for collecting Products for the purpose of placing an order;
  9. Account – an individual user account in the MINIKID Online Store;
  10. Order Confirmation – an electronic confirmation of acceptance of the Contract for execution by MINIKID;
  11. Civil Code (k.c.) – the Civil Code Act of April 23, 1964 (consolidated text Dz.U.2024.1061 with amendments);
  12. Consumer Rights Act (u.p.r.) – the Act of May 30, 2014, on consumer rights (consolidated text Dz.U.2023.2759 with amendments);
  13. Act on the Provision of Electronic Services (u.ś.d.e) – the Act of July 18, 2002, on the provision of electronic services (consolidated text Dz.U.2020.344 with amendments);
  14. General Data Protection Regulation (GDPR) – Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).

GENERAL PROVISIONS

  1. The MINIKID Online Store is available at: https://minikid.pl.
  2. Using the Online Service requires the Client’s device and IT system to meet the technical requirements.
  3. Acceptance of the Terms and Conditions is voluntary but necessary to create an Account or conclude a Contract.
  4. The information presented on the Online Service constitutes only an invitation to conclude a contract within the meaning of Article 71 of the Civil Code, directed by MINIKID to Clients.
  5. Only individuals who are 18 years or older may use the online store.

RULES FOR THE PROVISION OF ELECTRONIC SERVICES
MINIKID provides the following free electronic services via the Online Service:

  1. Account;
  2. Enabling Clients to place orders and conclude Contracts based on the rules outlined in the Terms and Conditions;
  3. Access to the Cart;
  4. Browsing content available in the Online Store;
  5. Storing the order history;
  6. Newsletter.

To create an Account, the Client must:

  1. Complete the registration form;
  2. Accept the Terms and Conditions;
  3. Provide the necessary data, including an email address and password.

The Service Agreement is concluded once the Client receives an email confirmation of account registration from MINIKID.
The agreement is concluded for an indefinite period.
The Client may, at any time and without providing a reason, delete their Account by sending a request to MINIKID.

The Client is obliged to:

  • Provide only true and up-to-date data in the forms available through the Online Service;
  • Update the data promptly, including personal data, especially when necessary for proper execution of the services or Contract.
  • Use the Online Store as intended and comply with all applicable laws.

It is prohibited for Clients to send unlawful content via the Online Store, particularly content that infringes on third-party copyright or personal rights.

The Client may consent to receiving commercial information, including by electronic means, by selecting the appropriate option in the registration form or later in the “Your Account” section (Newsletter link). Upon providing such consent, the Client will receive a newsletter and other commercial information sent by the online store to the provided email address.

The Client may unsubscribe from the Newsletter at any time by deselecting the appropriate option in the “Your Account” section (Newsletter link).

INTERPRETATION
The Consumer cannot waive the rights granted to them under the Consumer Rights Act. Any contract provisions less favorable to the Consumer than the provisions of the Consumer Rights Act are invalid, and in their place, the provisions of the Consumer Rights Act will apply.

The provisions of these Terms and Conditions are not intended to exclude or limit any rights of Consumers granted under mandatory legal provisions. Any doubts should be resolved in favor of the Consumer.

In the event of any unintended inconsistency between the provisions of these Terms and Conditions and the above laws, the legal provisions will take precedence over the Terms and Conditions, and MINIKID will comply with them.

PRICES

  1. Prices listed on the online store are in Polish złoty (PLN), Euro (EUR), US Dollar (USD) and are gross prices, including VAT.
  2. The cost of shipping is added to the Product price, depending on the chosen delivery and payment method.
  3. The price listed on the website at the time of placing the order is the final and binding price for the Client.
  4. After placing an order, the price of the ordered Products will not change, regardless of any price changes or promotions introduced by MINIKID.
  5. MINIKID reserves the right to change the prices of Products, introduce new Products for sale, conduct and cancel promotions, or make changes to them.

PLACING ORDERS – CONDITIONS FOR CONCLUDING A SALES AGREEMENT

Orders for Products in the Online Store can be placed using the order form, which is an integral part of the platform.
The Agreement through the Online Store is concluded once the order is placed as described in this section of the Terms and Conditions.

MINIKID allows orders to be placed through the following steps:

  1. Adding Products to the Cart, choosing sizes, colors, and other product features.
  2. Providing personal data necessary for the contract, such as name, delivery address (street, house/apartment number, postal code, city, country), email address, and contact number.
  3. Selecting a delivery method.
  4. Choosing a payment method for the price and other applicable costs.
  5. Making the payment (detailed rules can be found under the “Payments” tab).

To place an order, accepting the Terms and Conditions is mandatory.
In response to the order, the Client will immediately receive an automatic email confirmation of the Order Confirmation.
The Agreement is concluded when the Client receives the Order Confirmation.

If a product is unavailable, delivery may be significantly delayed, or only part of the order may be available. In such cases, MINIKID will contact the Client to determine how to proceed.
If fulfilling the order is impossible, the Agreement is not concluded, and MINIKID will refund the Client’s payment within 14 days.
For Clients who are not Consumers, providing a business name and, if requested in the form, a VAT invoice and NIP number is necessary.

Providing incorrect or outdated Client data may prevent the Agreement’s execution.
The total order value includes the price, shipping costs, and other optional paid services chosen by the Client.
The Client is informed during the ordering process of the total price, including applicable taxes and delivery costs (including shipping, transport, and postal services), as well as other charges, if applicable.
Registered users (those with an account) can make multiple purchases without re-entering personal information each time. They can also track order status changes, access their order history (including completed orders), and make changes or cancel orders that have not yet been processed. They can also change the shipping address.
It is possible to place a one-time order without registering an account in the Online Store.

ORDER FULFILLMENT

MINIKID reserves the right to verify the accuracy of any order through a telephone or email contact with the Client, based on the contact details provided in the order form. Telephone contact will only take place on business days between 9:00 AM and 4:00 PM.

If the ordered Product is unavailable, the Client will be immediately informed to decide on how to proceed with the remaining part of the order (partial fulfillment, extended wait time, replacing the unavailable Product, or canceling the entire order and refunding payment).
If cash on delivery is selected (if available), the order is processed immediately after placing the order.
For online payment methods, the order is processed after confirming the receipt of the payment for the ordered Product.

Orders are typically processed within 1 to 7 business days. The delivery time may be extended during sales periods or special promotions. The maximum delivery time, including preparation, handover to the carrier, and delivery, is 5 business days.
Products ordered in the Online Store are shipped only to the address provided by the Client in the order form.
If a Product is out of stock or the order cannot be fulfilled for other reasons, the Client will be notified via email or phone.

Deliveries are handled by the operator selected by MINIKID.

PAYMENT

For bank transfers, payment is made only to the following accounts:

  • PLN: PL 34 1090 1043 0000 0001 3487 9806
  • EUR: PL 59 1090 1043 0000 0001 3487 9841

MINIKID will not request payment to any other account. If such a request is received, it should not be paid, and the situation should be immediately reported to contact@minikid.pl.
For bank transfers, the payment title must include the order number specified in the order confirmation.

For online payments, only online transfers via a selected MINIKID partner (payment operator) are available.
After selecting a payment method, the Client is securely redirected to the chosen payment operator’s website. The payment transaction is made between the Client and the payment operator.

If the Client chooses cash on delivery, payment must be made when receiving the package. Failure to make the payment will result in the inability to collect the package. Refusal or failure to collect the Order, despite an additional grace period, entitles MINIKID to withdraw from the Agreement. The Client may also cancel the Order within the specified time without penalty, without affecting their right to withdraw from the contract.

ORDER COMPLETION TIME

Depending on the delivery option chosen by the Client, MINIKID commits to handing over the Product to the carrier within max 7 business days from the correct submission of the order.
If a Product is unavailable or the order cannot be fulfilled for another reason, MINIKID will notify the Client of how the situation will be resolved.
The delivery time from when the shipment is handed over to the carrier until it reaches the Client is beyond MINIKID’s control.
Business days are counted from Monday to Friday, excluding public holidays.

 

DELIVERY COSTS

The delivery of Products is subject to a fee. Available payment methods may depend on the delivery method selected by the Client.
The Client bears the cost of delivering the ordered Product, including shipping fees.
For shipments outside the EU, non-EU clients are also responsible for customs fees in addition to the shipping costs, which are added to the total order value.

GENERAL PRODUCT COMPLAINT RULES

MINIKID’s Responsibility

  1. MINIKID is responsible for ensuring that products comply with the sales agreement, as stated in the Polish Consumer Rights Act (Article 43a and following).
  2. Responsibility for non-consumer customers (e.g., businesses) is governed by the Civil Code.

Submitting a Complaint

  • Complaints can be submitted:
    • In writing: Niepodległości 804B/3, 81-805 Sopot
    • By email: contact@minikid.pl
  • The complaint should include:
    • A description of the product issue, including when and how the defect occurred.
    • The customer’s request (repair, replacement, price reduction, or contract withdrawal).
    • Contact details and whether the customer is a consumer or a business.
  • MINIKID will respond to the complaint within 14 days. If they don’t respond, it is assumed that the complaint is accepted.

Complaints Based on Non-Conformity with the Sales Contract

  • Customers can request a repair or replacement. If this is impossible or too costly, MINIKID may suggest another solution.
  • Customers may ask for a price reduction or contract withdrawal if:
    • MINIKID refuses to repair/replace the product.
    • The issue isn’t resolved in a timely manner.
  • Contract withdrawal is only possible if the non-conformity is significant.

Product Returns

  • Returns are allowed in cases of:
    • Order cancellation before the product is shipped.
    • Approved complaints or the inability to replace a product.
  • Refunds will be processed within 14 days.

Right to Withdraw from the Contract

  • Customers have the right to withdraw from the contract within 14 days of receiving the product, without giving a reason.
  • Products must be returned promptly, but no later than 14 days after the contract withdrawal.
  • Refunds will be processed using the same payment method the customer used unless otherwise agreed.

Alternative Dispute Resolution (ADR)

  • Customers can opt for mediation or arbitration for dispute resolution. Details can be found on the websites of the Office of Competition and Consumer Protection (UOKiK).
